Cornwall-based Q Brands Plus Limited, helmed by Peter Masters, formerly of Truro City Football Club, and Truro’s L2 nightclub, has successfully secured the business and certain key assets of Advantage Brands Licensing Ltd, finalising the deal on 6 December, with key legal backing from Nalders.
The assets acquired from Advantage Brands include the exclusive licence for Q Brands to manufacture, promote, and sell iconic sports and lifestyle brand Kappa products across the UK, the Channel Islands, the Isle of Man, and Ireland. The company is already either in contract, or in talks, with noteworthy sports teams such as Wigan Warriors, Bradford Bulls, Luton Town FC, Hull City FC, and The London Lions for Kappa to become the Official Technical Kit partner and sponsor.
This acquisition, accomplished in an impressive 5-week timeframe, involved navigating complex legal terrain across various European jurisdictions, including France, Ireland, and Scotland. The transaction required the involvement of a variety of legal disciplines within Nalders including the business/ corporate side by Dale Band, finance by Dan Barnden, commercial by Gayle McDermott, employment by Lee Middleton, and commercial property by Conor Phillips.
Peter Masters, owner of Q Brands, highlighted the challenges and commended Nalders for their timely and pivotal role in successfully concluding the deal. Peter explained;
“Buying an insolvent business is like walking through a minefield, and the pre-pack deal for Advantage Brands was particularly challenging, as there were a number of parties involved, all with their own agenda, and numerous complex legal issues. Nalders team, headed by Dale Band, were able to react in a timely manner and played a major role in bringing the deal to a successful conclusion.”
Nalders anticipates continuing its support for Q Brands as it expands its portfolio and fortifies its position in the licensing and distribution realm.
